Please read these Terms carefully before using the Folelse platform. By using our Service, you agree to these Terms. If you are subscribing on behalf of an organisation, you are agreeing to bind that organisation.
These Terms of Use ("Terms") govern your access to and use of the Folelse platform, website, and related services (collectively, the "Service") provided by Folelse Ltd, a company registered in England and Wales (company number 17132576, incorporated 1 April 2026) ("Folelse", "we", "us").
By creating an account, clicking "I agree", or otherwise accessing the Service, you agree to be bound by these Terms and our Privacy Policy. If you are accepting on behalf of an organisation, you represent that you have authority to bind that organisation.
If you do not agree to these Terms, you must not use the Service.
Folelse provides a cloud-based compliance management platform enabling organisations to manage their obligations under UK GDPR, the Data Protection Act 2018, and related legislation (including NHS DSPT requirements where applicable).
The Service is provided on a subscription basis. Features available to you depend on your subscription tier. We reserve the right to modify, suspend, or discontinue any feature with reasonable notice.
Registration: You must provide accurate, complete, and current information when creating an account and keep it up to date.
Security: You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at legal@folelse.co.uk if you suspect unauthorised access.
Eligibility: The Service is intended for business use by organisations and their authorised employees. You must be at least 18 years old and have authority to enter into contracts on behalf of your organisation.
Acceptable use: You agree not to: share credentials with unauthorised persons; attempt to access other customers' data; reverse engineer or decompile the Service; use the Service to process data in violation of applicable law; or engage in any activity that disrupts or impairs the Service.
Subscription terms: Subscriptions are available on monthly or annual billing cycles. Annual subscriptions are paid upfront and are non-refundable except as required by law.
Pricing: Current pricing is set out on our Pricing page and may be changed with 30 days' notice. Price changes will not affect your current billing period.
Automatic renewal: Subscriptions automatically renew unless cancelled before the renewal date. You can cancel at any time from your account dashboard.
Late payment: If a payment fails, we will notify you and attempt to collect payment for up to 14 days. Access may be suspended after this period. Outstanding balances accrue interest at 8% per annum above the Bank of England base rate.
Taxes: Prices exclude VAT. VAT at the applicable UK rate will be added to your invoice. Provide your VAT registration number where applicable.
Data ownership: You retain full ownership of all data you upload to or create within the Service ("Customer Data"). We have no right to use Customer Data except to provide the Service.
Data processing: We process Customer Data as a data processor acting on your documented instructions. Our Data Processing Agreement (DPA) sets out the specific obligations, which you can access at /dpa-template.
Data export: You may export your Customer Data at any time in supported formats. Following termination, your data is retained for 90 days to allow export before being permanently deleted.
Responsibility: You are responsible for ensuring you have the right to process any personal data you upload and that its processing complies with applicable law.
Our IP: All intellectual property in the Service — including software, databases, design, content, trademarks, and documentation — belongs to Folelse or its licensors. You receive a limited, non-exclusive, non-transferable licence to use the Service during your subscription.
Your IP: You retain all intellectual property in Customer Data. By using the Service, you grant us a limited licence to process Customer Data solely to provide the Service.
Feedback: Any feedback, suggestions, or ideas you provide may be used by us to improve the Service without any obligation to compensate you.
We target 99.9% monthly uptime (measured as availability of core platform functions, excluding scheduled maintenance). Scheduled maintenance will be notified at least 48 hours in advance.
Service credits may be available for downtime below the SLA threshold — contact support@folelse.co.uk to request a credit assessment. Credits are your sole remedy for service unavailability.
We do not guarantee the Service will be error-free or uninterrupted. We accept no liability for third-party service outages (e.g. NHS systems, Azure AD) that affect Service functionality.
Each party agrees to keep the other's confidential information secret, using at least the same care as it uses for its own confidential information (but no less than reasonable care). Confidential information does not include information that: is or becomes publicly available without breach; was already known; is received from a third party without restriction; or must be disclosed by law.
This obligation survives termination of these Terms for three years.
Disclaimer: The Service is provided "as is". To the maximum extent permitted by law, Folelse excludes all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Exclusions: Neither party is liable for indirect, incidental, special, consequential, or exemplary damages (including loss of profits, data, or goodwill) however caused.
Cap: Our aggregate liability to you arising out of or related to these Terms is limited to the total fees paid by you in the 12 months preceding the claim.
Exceptions: Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.
These limitations are a fundamental element of the basis of our bargain with you.
You agree to indemnify, defend, and hold harmless Folelse and its officers, directors, employees, and agents from any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) Customer Data; (c) breach of these Terms; or (d) infringement of any third-party rights.
By you: You may cancel your subscription at any time through your account dashboard. Cancellation takes effect at the end of the current billing period.
By us: We may suspend or terminate your access immediately if: you breach these Terms materially and fail to remedy within 14 days of notice; you become insolvent; or continued provision is unlawful.
Effect of termination: On termination, your right to use the Service ends. We will make Customer Data available for export for 90 days, after which it will be permanently deleted.
Sections 5 (Data), 6 (IP), 8 (Confidentiality), 9 (Liability), 10 (Indemnification), and 13 (Governing Law) survive termination.
Entire agreement: These Terms, together with our Privacy Policy, Cookie Policy, and any applicable DPA and Order Form, constitute the entire agreement between the parties and supersede all prior agreements.
Amendments: We may update these Terms with 30 days' notice. Continued use after the effective date constitutes acceptance. Material changes will be notified by email.
Waiver: Failure to enforce a provision does not constitute a waiver of that right.
Severability: If any provision is found unenforceable, it will be modified to the minimum extent necessary; the remaining provisions stay in full effect.
Assignment: You may not assign your rights without our prior written consent. We may assign our rights to a successor entity.
Force majeure: Neither party is liable for delays caused by circumstances beyond their reasonable control.
These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
Before commencing legal proceedings, you agree to notify us in writing of the dispute and give us 30 days to resolve it informally.
